and Great Plains Bancshares, Inc. Announce Definitive Merger Agreement 

The two companies jointly announced the signing of a definitive merger agreement pursuant to which Third Coast will acquire Great Plains in an all-stock transaction valued at approximately $239.6 million based on Third Coast's closing stock price as of October 6, 2026. On a pro forma basis, the combined company is expected to have approximately $9 billion in assets following the completion of the transaction. 
 

After the merger is completed, Great Plains will continue operating under the Great Plains brand as Great Plains Bank, a division of Third Coast Bank.

What is happening?

Great Plains Bank and Third Coast Bank have entered into a definitive merger agreement to join together. The result will be a combined bank with approximately $9 billion in assets across 43 branches in Oklahoma and Texas. The transaction remains subject to required regulatory and shareholder approvals and other customary closing conditions.

Why is Great Plains Bank doing this? Is this good for customers? 

The partnership brings together two relationship-focused banks with complementary markets and a shared commitment to customers, employees, and communities.  The combined organization will have greater scale, and expanded footprint, and increased capabilities to support customers and future growth of the company. 

Is Great Plains Bank in financial trouble? 

No. This is a strategic decision made from a position of strength to create additional opportunities and build a stronger organization for the future. 

Who is Third Coast Bank? 

Third Coast Bank, established in 2008, is a full-service financial institution with more than $6.7 billion in assets.  Their operations stretch across 20 branches in Texas’ four largest metropolitan areas: Greater Houston, Dallas-Fort Worth, Austin, and San Antonio.  As a wholly owned subsidiary of publicly traded Third Coast Bancshares, Inc. (NYSE and NYSE Texas: TCBX), Third Coast brings broader capabilities, increased lending capacity and an expanded Texas network. Together, we will be better positioned to serve larger and more complex customer relationships, invest in technology and enhance the products and services available to our customers. 

What does this mean for me today? 

Nothing changes today. Continue using your accounts, cards, checks, online banking and Great Plains Bank locations as usual. No action is needed based on the announcement. 

Will I still work with the same banker? 

There are no immediate changes to your banking relationship. Continue working with your current Great Plains Bank banker or lender unless you are notified otherwise. 

What will happen to the Great Plains Bank name? 

We value the Great Plains Bank name, heritage and customer recognition. Following the close of the merger, Great Plains will continue operating under the Great Plains brand as Great Plains Bank, a division of Third Coast Bank.  

What benefits could customers see over time? 

The combined organization is expected to offer greater lending capacity, broader commercial and digital capabilities, and a wider service network. Specific products, services and timing will be communicated as integration plans are formed. 

Will my account number, routing number, cards or online banking change? 

There are no immediate changes. If a future operational transition requires action, customers will receive clear instructions well in advance. 

Will branches close? 

No branch decisions are being announced as part of this initial communication. If a future decision affects customers, it will be communicated directly and in advance. 

When will the merger happen? 

The transaction remains subject to required approvals and customary closing conditions. Customers will receive updates as the transaction progresses. 

How can I tell whether a merger-related message is legitimate? 

Be cautious with unsolicited requests for passwords, PINs or one-time security codes. Great Plains Bank will use established channels for official information. If you are unsure, contact your branch or banker using a trusted number you already have.
